What Reg CA Would Mean for A1C and US Retail

On 18 August 2026 the SEC proposed Regulation Crypto Assets, an offering framework for certain crypto assets. It was published in the Federal Register on 21 August. The public comment period closes 20 October 2026.

The proposal would permit token offerings to US retail, at size, without full securities registration. It contains two exemptions:

Startup exemption (one-time), USD 5 million, over four years.

Fundraising exemption, USD 75 million, per twelve months.

Why a token is not equity

You have never been able to pay for Netflix with Netflix stock. Hold the shares and you own a piece of the company. Try paying your monthly bill with your share certificate.

A token closes that gap. What you own and what you spend are the same unit. Hold A1C as a claim on the business, and pay for an A1C Insights subscription or a box of 0spike with it.

Why US retail has been excluded

Since the 2017 ICO cohort, every serious token project has structured around Americans. Geoblock the sale. Write the terms for everyone else. The deepest retail pool on the planet then arrives late, on the secondary market, at a worse price.

Reg CA would end that arrangement.

What A1C would use it for

Entering the United States properly.

The US has many blood sugar apps and many sensor companies. It has no company holding both ends: software that works and a physical product it controls. A1C holds the app, the sensor program, and 0spike, with the same intelligence across all three.

At continental scale that is a capital question, not a product question.

A note on the name

A1C is now the company name. It was Sally A1C, from when Sally was the whole product. The company now runs a metabolic health ecosystem: the CGM program, A1C Insights, 0spike, and Sally as the AI inside it.

The token retains Sally in its name and will continue to, because token names cannot be changed after deployment. The contract and supply are unchanged, so holders don't need to do anything.

A1C's position on the proposal

Reg CA is a proposal, not law, and nothing has been approved.

A1C is not raising under it and will not announce a raise until a rule exists to raise under. The company is reading the proposal and preparing a comment.

Why HealthFi Needs Revenue, Not Emissions

Move-to-earn collapsed because the reward and the asset were the same object. A1C does not pay users in A1C. It accepts A1C, funded by sensor, subscription, and 0spike revenue.
